MAR establishes a comprehensive framework for preventing market abuse across EU financial markets. The regulation prohibits insider dealing, recommending transactions based on inside information, and market manipulation including spreading false information or conducting fictitious transactions. MAR requires issuers to disclose inside information as soon as possible and maintain insider lists of persons with access to such information. The regulation includes safe harbors for legitimate market activities like buyback programs and stabilization activities. MAR extends beyond traditional securities to include emission allowances, spot commodity contracts, and related derivatives. National competent authorities must investigate suspected market abuse and can impose administrative sanctions including significant financial penalties.
